Terms of Service

These terms govern use of the Countered platform (app.countered.io and related services) by any organisation ("Client") and its authorised users. By creating an account or using the platform, you agree to these terms on behalf of yourself and, where applicable, your organisation.

The service

Countered provides workplace execution-readiness and stress-impact assessment tools, including the Execution Readiness Survey, the Stress Behaviour Index, and associated dashboards and reports. Commercial terms, such as pricing, term length, and payment, are set out in your separate signed agreement with Countered, not in these terms.

Accounts

You're responsible for keeping your login credentials confidential and for all activity under your account. We recommend enabling multi-factor authentication where offered. Tell us immediately at barry@countered.io if you suspect unauthorised access.

Client responsibilities

As the Client, you're responsible for lawfully collecting and using your employees' data through Countered, including giving employees any notice and obtaining any consent required by law before sending survey invitations. You're responsible for the accuracy of the company and workforce data you enter, such as department structures, headcounts, and contact details.

Acceptable use

Don't use the platform to collect data on people outside your own organisation, attempt to bypass survey link security, interfere with the platform's operation, or reverse-engineer the scoring methodology.

Data ownership

You own the data your organisation submits and generates through the platform. We process it as described in our Privacy Policy and, where applicable, a separate Data Processing Agreement.

Intellectual property

The platform, its design, and the Execution Readiness and Stress Behaviour Index methodology are the intellectual property of Countered. These terms don't grant you any rights to that methodology beyond using the platform as intended.

Disclaimer

The platform is provided "as is." Scores and reports are decision-support tools based on self-reported survey data. They're not a guarantee of any outcome and shouldn't be treated as the sole basis for employment or disciplinary decisions.

Limitation of liability

To the extent permitted by law, Countered isn't liable for indirect, incidental, or consequential damages arising from use of the platform. Our total liability for any claim is limited to the fees paid for the service in the twelve months before the claim.

Termination

We may suspend or terminate access for breach of these terms. You may stop using the platform at any time; your separate signed agreement governs cancellation and any refunds.

Governing law

These terms are governed by the laws of England and Wales.

Changes to these terms

We may update these terms from time to time. Continued use of the platform after changes take effect means you accept the updated terms.
